Part of Media buying agencies brief for England: scope, evidence and rules

Network, independent, specialist and hybrid media agencies compared on control and exit

Compare network, independent, specialist and hybrid media agency models by control, capability, trading route, evidence and exit requirements.

Media buying agencies fall into four models: network, independent, specialist and hybrid. Compare them on control and exit, not on label. Ask what each bidder commits to in practice.

What to take away

  • Compare exact people, inventory route, data access, terms and accountability for your brief, not the agency label.
  • Price every bidder on the same scope. Disclose what can vary, including technology and verification costs.
  • Record whether the agency acts as agent or principal for proprietary inventory. State what evidence you receive.
  • Define data export, account ownership, notice, transition help and access after termination before appointment.
  • Revisit the comparison if budget, territory or channel mix changes materially.

Network, independent, specialist and hybrid examples

A network agency may provide cross-market buying and shared technology. GroupM, Omnicom Media Group and Publicis Media run central trading desks and group data platforms. Choreograph sits inside GroupM, Annalect inside Omnicom Media Group, and Epsilon inside Publicis Media. Those platforms shape control and exit terms.

An independent may offer a shorter management chain or a different trading approach. The7stars, Goodstuff and Total Media are UK independents without a group parent. The7stars is a London-based media agency. These firms usually leave data and account ownership with the client, but key-person capacity and external partners become the main risks.

A specialist concentrates on a medium such as search, out of home or audio. iProspect, Croud and Brainlabs work mainly in search, social and digital performance. iProspect is part of Dentsu. Croud blends staff with a network of freelance Croudies. Brainlabs is an independent digital media agency based in London.

In a hybrid arrangement, the advertiser retains selected planning, data or activation tasks and appoints an agency for the rest. A hybrid agency therefore works alongside the in-house team, with tasks split between advertiser and agency. Unilever's U-Studio sits beside WPP agencies. MediaSense and ID Comms advise on in-housing and agency models.

The contract must say which tasks stay inside and which go out.

These are operating descriptions, not quality bands. IPA and ISBA's Finding an Agency guide advises clients to decide whether a review is needed, involve procurement appropriately and match the pitch model to how they work. That makes the brief the proper unit of comparison.

Control question to test

Network: GroupM, Omnicom Media Group, Publicis Media
Which offices, group services and related parties are committed?
Independent: The7stars, Goodstuff, Total Media
How are scale, tools and specialist cover supplied?
Channel specialist: iProspect, Croud, Brainlabs
Where does its remit begin and end?
Hybrid: Unilever U-Studio, MediaSense, ID Comms
Which planning, data or activation tasks stay in-house?

Exit dependency to expose

Network: GroupM, Omnicom Media Group, Publicis Media
Group platforms, central trading and related-party records; export and notice terms.
Independent: The7stars, Goodstuff, Total Media
External partners, key-person capacity and platform access.
Channel specialist: iProspect, Croud, Brainlabs
Handoffs to creative, analytics or other buyers; account ownership.
Hybrid: Unilever U-Studio, MediaSense, ID Comms
Interfaces between internal and agency teams; data export.

Use these working bands as a starting point:

  • Under about £1m annual media budget, narrow channel mix, limited in-house resource: a specialist or independent usually fits.
  • About £1m to £10m, two or three channels, some in-house planning or data: an independent or hybrid usually fits.
  • Above £10m or multi-market, broad channel mix, strong in-house capability: a network or hybrid usually fits.

Follow the money and the inventory

Remuneration may use retainers, projects, time, commission or performance components. A combination is common. Comparison fails when one proposal includes technology, research and verification while another treats them as pass-through costs.

Ask every bidder to price the same scope and disclose what can vary. For orientation, typical retainers or commission often fall between 5% and 15% of media spend. The figure depends on scope, category and whether technology and data fees sit inside or outside the fee.

Follow the money checks

  • Price the same scope for every bidder
  • Disclose all variable costs
  • Record agent or principal role
  • List proprietary inventory separately
  • Define evidence client receives

ISBA's material on contract compliance audits identifies stewardship of client money, agency remuneration, associated income and related-party records as audit concerns. The document is UK industry guidance rather than legal advice. It shows why a low headline fee cannot be judged apart from trading arrangements.

Proprietary inventory needs its own line. ISBA's 2026 proprietary media guidance announcement is titled "ISBA launches new guidance to help advertisers navigate proprietary media with confidence" and calls for clear, granular data that distinguishes such buying from other media. Record whether the agency acts as agent or principal, how inventory is selected and what evidence the client receives.

Worked example: if a network buys a digital out-of-home package as principal, the client should receive the placement list, the price paid to the media owner and the agency margin, not just the invoiced rate. If the same network buys as agent, the client should receive the media owner invoice and the disclosed commission.

Compare capability as delivered

Request named roles, time commitments and escalation cover. A network's global capability is irrelevant if the contracted team cannot access it. A network may publish global service lines, but your contract names the local team. That team may change, so record who replaces whom.

Capability as delivered

  • Request named roles and time commitments
  • Record escalation cover
  • Mark channel boundaries in contract
  • Write a responsibility map
  • Give all candidates the same brief

A specialist's depth may be valuable, but the buyer must own cross-channel decisions if no one else does. The digital specialists can run search, social and performance buying. They may not control out of home, audio or brand planning. The contract should mark those boundaries.

Hybrid models need a written responsibility map so that tagging, creative approval or budget pacing does not fall between teams. Advisory firms often help advertisers build that map. Unilever's U-Studio shows how an in-house studio can sit beside external agencies. The map should name owners for each task.

The IPA briefing guide describes a brief as a way to create shared understanding between marketer and agency. Give all candidates the same objectives, audience, geography, exclusions and evidence questions. Then record differences rather than scoring presentation polish.

Make the choice reversible

Before appointment, define data export, account ownership, notice, transition help and access after termination. Typical agency contracts run 12 to 36 months, with notice of three to six months in most markets. Short notice and clear data export reduce exit risk.

Ask for a defined export format such as CSV files for campaign, cost and performance data, and a handover plan that names the people responsible for platform access, billing and creative assets. Typical handover steps include a joint transition plan, platform administrator changes, invoice reconciliation and a final data transfer.

Make the choice reversible

  • Define data export format
  • Confirm account ownership
  • Set notice period
  • Agree transition help
  • Secure access after termination

The preferred model is the one whose dependencies the advertiser can govern, not the category with the strongest reputation. Network groups bring scale but also group platforms. UK independents bring independence but may rely on key people. Digital specialists bring channel depth but need internal cross-channel ownership.

No model is recommended here. Terms change by proposal, and the final contract requires qualified review. Keep unanswered trading, data and exit questions visible until they are resolved.

Before you act

  • Decide if a review is needed and involve procurement appropriately.
  • Give all candidates the same objectives, audience, geography and exclusions.
  • Request named roles, time commitments and escalation cover.
  • Ask every bidder to price the same scope and disclose variables.
  • Record whether the agency acts as agent or principal.
  • Define data export, account ownership, notice and transition help.

Common questions

What should buyers compare instead of the agency label?

Buyers should test every bidder against the brief, not the label. The label predicts very little on its own. Different agencies will answer very differently.

Why can a low headline fee be misleading?

A low headline fee cannot be judged apart from trading arrangements. ISBA guidance identifies stewardship of client money, agency remuneration, associated income and related-party records as audit concerns.

What should be agreed before appointment to make the choice reversible?

Agree the exit terms before appointment, including data export format, account ownership, notice and transition help. The contract should also name who controls platform access after termination.
